Corporate Sponsorships -- List Rental Agreement

  1. Corporate Sponsors are entitled to use BAI conference attendee lists only for conferences at which they exhibit.
  2. Conference attendee lists will be provided only to Corporate Sponsors that have fully paid their Corporate Sponsor membership fees at the time the lists are to be released.
  3. Conference attendee lists are to be used only to promote a BAI conference and/or to promote the exhibiting Corporate Sponsor’s presence at a BAI conference and/or to promote the Corporate Sponsor’s products or services. BAI attendee lists may not be used to promote another organization’s conferences or products or services that compete with those of BAI.
  4. Names from the attendee list may not be added to the Corporate Sponsors’ internal database in any way. The Corporate Sponsor shall be held unconditionally responsible for any and all damages sustained by BAI if the Corporate Sponsor or his designated agents misuse the list. List misuse may also result in the denial of list access in the future.
  5. Before the BAI conference, a pre-conference attendee list for that conference may be mailed multiple times but can be used only to promote the Corporate Sponsor’s involvement in the upcoming program. A post-conference attendee list may be mailed only once. Pre- and post-conference lists will be provided in an ASCII comma-delimited format via email.
  6. Pre-conference attendee lists will include registrants as of approximately four weeks prior to the conference start date. Post-conference attendee lists will include all registrants.
  7. Corporate Sponsors may order pre-conference attendee lists up to one week before the start of the conference and may order post-conference attendee lists within 90 days following the end of the conference.
  8. It is understood and agreed that attendee lists are seeded with names and addresses to monitor improper and unauthorized use. Corporate Sponsors may not employ any method to detect “seeded” names or to eliminate seeds.
  9. The Corporate Sponsor acknowledges the importance of maintaining the security and confidentiality of attendee lists, and agrees to take whatever steps are necessary to prevent unauthorized use.
  10. The Corporate Sponsor agrees to indemnify and hold harmless BAI from any and all claims, damages, losses or expenses, including attorney’s fees, however incurred, which are occasioned by (i) use of the list(s) (ii) the negligent maintenance of the list, and (iii) materials, products or goods mailed to list(s).
  11. BAI makes no warranty or representation of any nature as to the accuracy of the list(s), of the addresses with respect to the results obtained or to the number of pieces that are deliverable.
  12. BAI reserves the right to require from an exhibiting Corporate Sponsor a sample mailing piece and/or a signed agreement from a bonded letter shop or mailing house prior to releasing the list.
